Gaines Dittrich was introduced to me in late December 2007. At that time, I had been trying for weeks to find a seasoned banker for our bank's quickly developing Special Assets Division. The real estate economy had soured for Premier Bank during the summer of 2007 and by mid winter, much work was accumulating that needed to be addressed and soon.

Gaines joined Premier Bank in February 2008. From the minute Gaines arrived, he was "On the Team". Gaines quickly ascertained the bank's deteriorating position and put into motion strategies needed to address the bank's mounting problems.

Almost immediately, Gaines started building an infrastructure to tackle the challenges head on. He developed badly needed reporting first off to assemble the data in a usable format so we could all understand what we had and where it was located. Secondly, he qualified the bank's personnel to identify those that could help in the turnaround and the ones that needed to relocate. Thirdly, Gaines began using processes to determine what potential problem credits were coming down the pipeline and yet to be addressed. He held meetings with every single loan officer and reviewed every single loan to determine if we could "turn off" the flow of good credits to problem credits. Fourthly, Gaines developed policies and procedures that guided Premier not only in its internal processes but on how problem credits were dealt with, structured or restructured and how the bank would deal with regulators and other external forces going forward.

All the while, Gaines was mentoring, teaching and encouraging all those he has touched while working at Premier. His strong faith and high character consistently showed through and I have personally never seen anyone who is more admired or respected by not only his peers but others such as regulators, lawyers and consultants.

Gaines is "one in a million". He has been more than I could have ever imagined and I count myself more than just lucky to have worked beside him and learned from him. He positively influences everyone he touches and brings with him the highest level of experience and professionalism.

My experience with Dittrich and Associates began when I was in charge of the Resolution Trust Corporation Kansas City Office. This office was formed to handle the resolution and asset sales activity for the Savings and Loan Institutions closed in the Midwest.

Mr. Dittrich epitomized the qualities that were needed for this demanding task by possessing the banking experience, private sector perspective, professionalism and a commitment to excel. This experience and willingness to attack any and all issues helped with the formulation, organization and the ultimate success of this office.

Mr. Dittrich served as a Managing Agent in charge of several S&L Receiverships including a $3 Billion institution which was one of our most complex and challenging. He then joined our senior management team as Director of Operations

It is with pleasure for me to write a letter of recommendation on behalf of Dittrich & Associates. As you may recall, the Federal Deposit Insurance Corporation (FDIC) required us to retain an Asset Management Consulting firm as a pre-requisition to accepting our bid for First Lowndes Bank under the Purchase and Assumption Loss Share program. Your firm was recommended to us and we believe it was the right decision for our bank.

Your team quickly responded to our request on a short notice, immersed into the Loss Share Agreement and definitively prescribed a course of action. In short order, Dittrich assembled a ground game with a Qualified Team assembled on site to execute the plan. The Dittrich Team from the inception has put the bank's interest first.
